Effective Date: February 21, 2025

This Commission Schedule (“Schedule”) forms part of the Referral Program Terms and Conditions and the Referral Program Agreement. By registering for the Referral Program through our digital platform, you accept and agree to this Commission Schedule. All capitalized terms not defined herein shall have the meanings ascribed to them in the Referral Program Terms and Conditions.

1. COMMISSION RATES
1.1. Monthly Subscription Plans

For the Monthly Plan priced at €7/month:

• Commission Rate: 50%
• Commission Amount: €3.50/month
• Commission Duration: 12 months
• Minimum Subscription Age for Eligibility: 1 month

1.2. Annual Subscription Plans

For the Annual Plan priced at €70/year:

• Commission Rate: 50%
• Commission Amount: €35/year
• Commission Duration: One-time payment
• Minimum Subscription Age for Eligibility: 1 month

2. COMMISSION CALCULATION EXAMPLES
2.1. Monthly Subscription Example

Scenario: A Referred Customer subscribes to the Monthly Plan at €7/month.

Commission Calculation:

• Commission Rate: 50%
• Monthly Commission: €3.50 (€7 × 50%)
• Total Commission Over 12 Months: €42 (€3.50 × 12 months)

Payment Schedule:

• First Quarter (Months 1-3): €10.50 (€3.50 × 3 months)
• Second Quarter (Months 4-6): €10.50 (€3.50 × 3 months)
• Third Quarter (Months 7-9): €10.50 (€3.50 × 3 months)
• Fourth Quarter (Months 10-12): €10.50 (€3.50 × 3 months)

2.2. Annual Subscription Example

Scenario: A Referred Customer subscribes to the Annual Plan at €70/year.

Commission Calculation:

• Commission Rate: 50%
• Total Commission: €35 (€70 × 50%)

Payment Schedule:

After the subscription has been active for 1 month, the one-time commission of €35 will be included in the next quarterly payment.

3. COMMISSION PAYMENT SCHEDULE
3.1. Quarterly Payment Dates

Commissions are paid according to the following quarterly schedule:

• Q1 (January – March): Payment date April 15
• Q2 (April – June): Payment date July 15
• Q3 (July – September): Payment date October 15
• Q4 (October – December): Payment date January 15

3.2. Payment Method

Commissions will be paid via electronic bank transfer to the account details provided by the Referrer.

3.3. Minimum Payment Threshold

Commissions will accrue until they reach the minimum payment threshold of $100 USD (or equivalent in EUR). Any amount below the threshold will roll over to the next payment period.

4. COMMISSION ADJUSTMENTS
4.1. Subscription Cancellations

If a Referred Customer cancels their subscription:

For Monthly Plans: No future commissions will be paid after the cancellation date.

For Annual Plans: If the customer receives a refund, the commission may be subject to a prorated clawback based on the refund amount.

4.2. Subscription Upgrades/Downgrades

If a Referred Customer upgrades or downgrades their subscription:

The commission will be adjusted based on the new subscription amount.
The original 12-month commission period for Monthly Plans remains unchanged.

4.3. Commission Clawbacks

The Company reserves the right to reclaim (clawback) commissions in the following circumstances:

• Fraudulent or invalid referrals
• Referred Customer receives a refund
• Referred Customer disputes the charge
• Violation of the Referral Program Terms and Conditions

5. COMMISSION REPORTING
5.1. Reporting Dashboard

Referrers will have access to a reporting dashboard that provides:

• Real-time tracking of referrals
• Status of referred subscriptions
• Commission amounts earned and paid
• Payment history

5.2. Commission Statements

Referrers will receive a detailed commission statement with each payment, including:

• Referred Customer identifiers (anonymized as necessary)
• Subscription plan types
• Commission calculations
• Payment amounts

5.3. Discrepancy Resolution

Any discrepancies in commission calculations must be reported within 30 days of the relevant payment date. Discrepancies should be reported to greg@anatomus.com.

6. TAX CONSIDERATIONS
6.1. Tax Documentation

Referrers may be required to provide appropriate tax documentation based on their location and status:

• For Irish-based Referrers: Valid PPS Number and tax registration details
• For EU-based Referrers: Valid VAT number (if applicable) and tax identification information
• For non-EU Referrers: Relevant tax identification information as required by Irish tax regulations
• 6.2. Tax Reporting

The Company will issue appropriate tax forms as required by Irish and EU tax regulations:

• For Irish-based Referrers: Documentation required for Revenue compliance
• For EU-based Referrers: Documentation required for VAT and cross-border payment compliance
• For non-EU Referrers: Documentation required for international payment compliance

6.3. Tax Withholding

The Company may withhold taxes from commission payments as required by Irish, EU, and international tax regulations.

7. MODIFICATIONS

The Company reserves the right to modify this Commission Schedule with 30 days’ notice. Continued participation in the Referral Program after modification constitutes acceptance of the modified Commission Schedule.
